2Definitions
- Service — S.P.jček, including the app, the API and all related features.
- User — a natural person with a user account in S.P.jček.
- Company — a business (for example an s. p. or a d. o. o.) that a user creates in S.P.jček or is invited to, and in whose name invoices are issued.
- Content — all data that you or other members of a company enter into the service: company details, clients, invoices, templates and logos.
3Who the service is for
S.P.jček is intended for businesses — sole traders, companies and other business entities — to issue invoices in the course of their business. You use the service as a business and not as a consumer, so consumer protection rules do not apply to this relationship.
Users must be at least 18 years old.
4Your account and access
- You sign in with a link sent by e-mail, or with a Google or Microsoft account. Anyone with access to your mailbox can sign in to your account, so keep it secure.
- The information about you and your company must be true and accurate.
- A company’s owners and admins decide whom to invite and which role to give them, and are responsible for that. Even a member with the lowest role can issue, edit, cancel and delete invoices, and edit clients and templates.
- API access tokens give access to a company’s data without signing in. Keep them confidential and revoke them when you no longer need them.
- If you suspect someone has accessed your account without permission, tell us immediately.
5Price
S.P.jček is currently free of charge.
We may introduce paid plans in the future. We will notify you by e-mail at least 30 days before they take effect, together with the prices and terms. We will not charge you anything without your explicit consent. If you don’t agree with the paid terms, you can stop using the service and export your data first.
6Responsibility for invoices
S.P.jček helps you issue correct invoices: it takes care of sequential numbering, amounts and VAT, the statutory notice for businesses not registered for VAT, the UPN QR code and e-SLOG. Even so, the service is a tool and not tax or accounting advice. You are responsible for:
- the content and correctness of the invoices you issue, including their tax treatment;
- the accuracy of your company’s and your clients’ details;
- sending invoices to your clients and, where required, submitting e-invoices through your bank or the UJP portal;
- keeping invoices for the statutory period (10 years under the Slovenian VAT Act, ZDDV-1);
- reporting and other obligations towards the tax authority.
Fiscal verification. S.P.jček does not perform fiscal verification of invoices under the Slovenian Fiscal Verification of Invoices Act (ZDavPR). If you accept cash payments — which under that Act include payment card payments — you must fiscally verify those invoices with other software designed for it.
e-SLOG and payment references. We produce e-invoices to the e-SLOG 2.0 standard, but whether they are accepted is decided by the recipient’s system. Confirm SI12 references, which carry a check digit, with your bank before relying on them.
7Acceptable use
You must not use the service:
- for unlawful purposes, including issuing false or fictitious invoices;
- to upload content you don’t have rights to (for example someone else’s logo) or malicious code;
- in a way that threatens the security or operation of the service, for example through unauthorised access, overloading the API or automated collection of data that isn’t yours.
If you breach these rules we may restrict or end your access to the service. Where possible, we will warn you first.
8Your content and export
Your content remains yours. You only permit us to store and process it to the extent needed to provide the service. We don’t use it for any other purpose.
You can export invoices at any time as PDF or e-SLOG, and your data through the API. On request, we will prepare an export of all of a company’s data.
9Data processing agreement
When you enter personal data about your clients, contact persons and company members into S.P.jček, your company is the controller of that data and IntraLab is the processor. This section is a data processing agreement within the meaning of Article 28 of the General Data Protection Regulation (GDPR).
- Subject matter and duration. IntraLab processes the data to provide the service, for as long as the company uses S.P.jček.
- Types of data and data subjects. Identification and contact data (name, address, e-mail, phone), tax and registration numbers, the company’s bank details and the data on invoices. The data subjects are the company’s clients and their contact persons, the sole trader themselves and the company’s members.
- Instructions. IntraLab processes the data only on your documented instructions, which consist of these terms and your use of the service’s features. If we believe an instruction infringes the law, we will tell you.
- Confidentiality. Only people who need access to provide the service, and who are bound by confidentiality, have access to the data.
- Security. IntraLab implements appropriate technical and organisational measures under Article 32 GDPR, as described in the privacy policy.
- Sub-processors. You authorise the use of the sub-processors listed in the privacy policy. We will notify you at least 14 days before replacing or adding a sub-processor; if you disagree, you may object or stop using the service. Our contracts with sub-processors impose the same data protection obligations.
- Assistance. We will help you respond to data subjects’ requests, ensure security and carry out impact assessments where required. Requests we receive directly from data subjects will be forwarded to you.
- Breaches. We will notify you of a personal data breach without undue delay and no later than 48 hours after we become aware of it.
- End of processing. When the company stops using the service, we will return (by export) or delete the data at your choice, unless the law requires it to be kept.
- Audits. On request, we will provide the information needed to demonstrate compliance with this section and allow reasonable inspections.
10Availability and changes
We work to keep S.P.jček available and free of faults, but we cannot guarantee it. The service may occasionally be unavailable because of maintenance, updates or outages.
We keep developing the service, so we may add, change or remove features. If we remove a feature you rely on, we will tell you in advance.
Because you must keep invoices yourself by law, we recommend exporting issued invoices regularly.
11Limitation of liability
The service is provided as is. To the extent permitted by law:
- we are not liable for indirect damage, lost profit or loss of data, nor for fines or other consequences of invoices issued incorrectly or not issued at all;
- our total liability is limited to the amount you paid us in the last 12 months, or to EUR 100 while the service is free.
These limits do not apply to damage caused intentionally or through gross negligence, or in other cases where liability cannot be limited by law.
12Ending your use
You can stop using the service at any time. To delete a user account or a company, write to info@intralab.si from the e-mail address you sign in with; we will complete the deletion within 30 days. Only a company’s owner can ask for the company to be deleted. Before that, export the invoices you are required to keep.
We may end your use of the service if you breach these terms. If we were to shut S.P.jček down altogether, we would notify you at least 90 days in advance so that you can export your data.
13Changes to these terms
We may change these terms. We will notify you of material changes by e-mail or in the app at least 30 days before they take effect. If you keep using the service after that, the changed terms apply. If you don’t agree with them, you can stop using the service.
14Final provisions
- These terms are governed by the law of the Republic of Slovenia.
- We will try to settle any dispute amicably. If that is not possible, the court with subject-matter jurisdiction in Ljubljana has jurisdiction.
- These terms are published in Slovenian and English. If the two differ, the Slovenian version prevails.
- If any provision proves invalid, the remaining provisions stay in force.
- Send questions about these terms to info@intralab.si.
